2. Eligibility and Accounts
You must be legally capable of entering into a binding agreement. You are responsible for account credentials, activities under your account, and ensuring account information is accurate.
3. Use of the Services
You agree not to:
- Use the Services for unlawful, harmful, or deceptive activities.
- Reverse engineer, interfere with, or compromise the Services or security controls.
- Upload or submit content you do not have rights to use.
- Use automated means to abuse or overload the Services.
4. Customer Content
You retain ownership of your prompts, files, data, and outputs you provide to the Services ("Customer Content"). You grant us a limited license to host, process, and transmit Customer Content as needed to provide and improve the Services, consistent with our Privacy Policy and applicable law.
5. AI Output and Disclaimer
AI-generated outputs may be inaccurate, incomplete, or inappropriate for your use case. You are responsible for reviewing outputs and determining fitness for your intended purpose.
6. Fees and Payment
Paid plans, billing cycles, and pricing are described at purchase or in your order form. Fees are non-refundable except as required by law or explicitly stated in writing.
7. Suspension and Termination
We may suspend or terminate access if you violate these Terms, pose a security risk, or create legal exposure. You may stop using the Services at any time.
8. Confidentiality
Each party will protect the other party's confidential information using reasonable care and use it only for purposes of the Services.
9. Intellectual Property
The Services, including software, branding, and documentation, are owned by ThruWire or licensors and protected by applicable laws. Except for rights expressly granted, no license is implied.
10. Warranty Disclaimer
The Services are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Total liability for claims under these Terms is limited to amounts paid by you for the Services in the 12 months preceding the claim.
12. Indemnification
You will defend and indemnify ThruWire and its affiliates against third-party claims arising from your use of the Services, your Customer Content, or your violation of these Terms or applicable law.
13. Governing Law
These Terms are governed by applicable laws in the jurisdiction identified in your order form or, if none is stated, the jurisdiction where ThruWire is established.
14. Changes to Terms
We may update these Terms from time to time. Continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms.
